Vendor Agreement
The operating expectations for service professionals who work through Nexora.

Purpose and independent status
This Vendor Agreement supplements Nexora's Terms of Service for service professionals using the platform. Vendors are independent businesses, not employees, partners, joint venturers, or agents of Nexora. Vendors control how they perform their services, subject to applicable law, accepted work requirements, and these terms.
Eligibility and information
Vendors must provide accurate business, contact, service-area, availability, licensing, insurance, and payment information. Vendors are responsible for maintaining all licenses, permits, insurance, background checks, and qualifications required for their services and locations. Nexora may request supporting documentation and may approve, pause, or decline an application at its discretion.
Service opportunities and customer work
A service opportunity is not a guarantee of work. Vendors may review opportunities, submit quotes where available, and accept only work they can perform safely, lawfully, and professionally. Once work is accepted, the vendor is responsible for timely communication, quality, personnel, tools, site safety, and compliance with agreed scope, applicable law, and reasonable customer or property requirements.
Quotes, completion, and payouts
Vendors must provide accurate quotes and must not perform out-of-scope work without required approval. Eligible vendor payouts are based on the agreed vendor amount for approved work, subject to completion, customer payment, platform rules, payment-provider requirements, reserves, disputes, and applicable law. Nexora may delay, withhold, offset, or reverse a payout where reasonably necessary to address refunds, chargebacks, fraud, incomplete work, or violations of this agreement.
Insurance, conduct, and indemnity
Vendors must maintain appropriate insurance and operate professionally. Vendors may not misrepresent qualifications, misuse customer information, solicit unlawful payments outside the platform, discriminate unlawfully, or engage in unsafe, deceptive, abusive, or fraudulent conduct. To the extent permitted by law, vendors will indemnify Nexora for claims arising from the vendor's services, personnel, property damage, injuries, legal violations, or breach of this agreement.
Suspension, termination, and updates
Nexora may suspend or end a vendor's access when documentation expires, a vendor violates these terms, service quality or safety creates concern, or continued access creates risk. This agreement may be updated as the platform evolves. Continued vendor use after the effective date of an update means the vendor accepts the updated agreement.
